Corporate & Governance
Advice to companies, shareholders and boards throughout the corporate life cycle, from incorporation and ownership structuring to restructuring.
About the practice
M&CO’s corporate and governance practice draws on broad experience of the legal and regulatory matters that govern the incorporation, management and development of companies. We advise companies, shareholders, boards of directors and executive management on legal, ownership and governance structures, taking account of each company’s regulatory requirements and commercial objectives.
Our experience covers every stage of a company’s life: from incorporation and ownership structuring, through regulating shareholder relationships, governance frameworks and decision-making mechanisms, to restructuring and changes in capital and ownership. We also assist boards and executive management with legal matters relating to their powers and responsibilities, and with taking decisions in accordance with the applicable regulatory frameworks.
Our work in this area includes
- Company incorporation and the structuring of entities and ownership
- Drafting and reviewing articles of association, by-laws and constitutional documents
- Shareholders’ agreements and the regulation of shareholder rights and obligations
- Corporate governance frameworks and policies
- Organising the work of boards of directors, committees and general assemblies
- Preparing board and general assembly minutes and resolutions
- Powers and responsibilities of directors and executive management
